Teams Terms of Service

1. Relationship to main terms
These Terms for Teams supplement the Fexyn VPN Terms of Service. In case of conflict between these terms and the main Terms of Service, these Terms for Teams prevail for organization accounts.
By subscribing to a Teams or Enterprise plan, the subscribing entity (“Organization”) agrees to these terms on behalf of itself and all users it authorizes.
2. Organization account
The Organization designates an owner who manages seat allocation, user onboarding, and compliance with these terms. The owner may delegate management functions to admins through the organization console. The Organization is responsible for the conduct of all users it provisions.
3. Seat licensing
Each seat entitles one individual to access Fexyn VPN. Seats are assigned to specific users and cannot be shared. To reassign a seat, deprovision the current user first. The Organization may not exceed its purchased seat count.
4. Billing
Teams plans are billed per seat on a monthly or annual cycle. Enterprise plans may be invoiced under custom terms agreed in writing. If payment is not received within 30 days of the invoice date, we may suspend all Organization accounts until the balance is cleared.
5. Acceptable use
All Organization users must comply with the Acceptable Use section of our Terms of Service. The Organization is responsible for ensuring its members do not use the Service for unlawful activities, unauthorized network scanning, or anything that degrades service quality for others.
6. Export controls and sanctions
All Organization members are bound by the Export Controls & Sanctions section of our Terms of Service (Section 12). The Organization is responsible for ensuring that none of its members are located in sanctioned jurisdictions or listed on any US government restricted party list.
7. Data processing
Processing of personal data is governed by our Data Processing Agreement. The Organization acts as the data controller. Fexyn acts as the data processor for user metadata required to provide the Service.
8. Service level
Enterprise plan subscribers are covered by our Service Level Agreement. Teams plan subscribers receive best-effort uptime as described on the pricing page.
9. Termination
Either party may terminate the Teams subscription with 30 days written notice. On termination, all user access is revoked and Organization data is deleted within 90 days per our data retention policy.
10. Limitation of liability
Fexyn's total liability to the Organization under these terms is limited to the total fees the Organization paid in the 12 months before the claim. This limit applies to the fullest extent permitted by law.
11. Governing law
These terms are governed by the same jurisdiction and dispute resolution process specified in Section 16 of the Terms of Service.
